Notice is hereby given that the Annual General Meeting (AGM) of Vancouver Opera Association (VOA) will take place on: Thursday, September 17, 2026 The VOA AGM will take place at 5:30PM at the The O’Brian Centre for Vancouver Opera, 1945 McLean Drive, Vancouver, BC. VOA Members are invited to attend in person or virtually through Zoom. At the AGM, VOA Members will be asked to elect directors, approve the appointment of auditors for the upcoming year, and conduct such other business as may properly come before the meeting. VOA Members entitled to vote at this AGM include: (i) persons who were season ticket holders in the 2025/26 VOA season and persons who have become season subscribers to 2026/27 VOA season on or before August 18, 2026; (ii) persons who donated $100.00 or more during the VOA fiscal year which ended June 30, 2026; (iii) officers of Vancouver Opera Guild; and (iv) Directors of Vancouver Opera Association VOA Members do not include persons who receive or have received remuneration from VOA since the beginning of VOA fiscal year which ended June 30, 2026, whether as employees, service providers or otherwise. NOTICE OF SPECIAL RESOLUTIONS OF VANCOUVER OPERA ASSOCIATION (the "Society") The following special resolutions will be proposed for approval at the annual general meeting of the members of the Society to be held on September 17, 2026. Replacement of Bylaws and adoption of Directors’ Code Of Conduct and Conflict of Interest Policy RESOLVED as special resolutions that: 1. the current Bylaws of the Society be updated and that the form of Bylaws attached hereto as Schedule A be adopted as the Bylaws of the Society in substitution for, and to the exclusion of, the existing Bylaws of the Society, with effect upon the electronic filing with the BC Registrar of Companies; and 2. the Directors’ Code Of Conduct and Conflict of Interest Policy attached hereto as Schedule B be adopted to establish standards of conduct expected and required of all Directors of the Society Please see Schedule A and B for the proposed replacement bylaws and Directors’ Code Of Conduct and Conflict of Interest Policy.
